Terms of Service

1. Acceptance of terms
These Terms of Service ("Terms") are entered into by and between CogniFetch Ltd., a company incorporated in Jamaica ("CogniFetch", "we", "us", "our"), and the individual or entity accessing or using the Service ("Customer", "you", "your").
By creating an account, clicking "I agree", or using any part of the CogniFetch platform, you represent that: (a) you have read, understood, and agree to be bound by these Terms; (b) you have the authority to enter into these Terms on behalf of your organization; and (c) your organization is a validly existing legal entity in good standing.
If you are using CogniFetch under an enterprise agreement, the terms of that agreement supersede these Terms where they conflict.
2. Service description
CogniFetch is an AI-powered enterprise knowledge management platform that allows organizations to upload internal documents, policies, and procedures and query them using natural language. The platform uses retrieval-augmented generation (RAG) technology combining vector search with large language model generation.
The Service includes:
- Document ingestion, chunking, and embedding into a private organizational knowledge base
- Natural language querying of ingested documents
- AI-generated answers grounded in retrieved document context
- Team member management and role-based access control
- Usage analytics and query logging
- API access for integration with external systems (Professional and Enterprise plans)
- Custom branding options (Professional and Enterprise plans)
3. Accounts and organizations
Account registration. You must provide accurate, current, and complete information during registration and keep it updated. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
Organizations. Each registered account belongs to an organization. The person who creates the organization is the Owner. Owners may invite additional members and assign roles (Owner, Admin, Member). You are responsible for all actions taken by members of your organization.
One account per person. Each individual may maintain only one active account. Creating multiple accounts to circumvent plan limits is prohibited and will result in termination of all accounts.
Minimum age. You must be at least 18 years old to use CogniFetch. The Service is intended for business use only and is not directed to consumers.
Account security. You must notify us immediately at legal@cognifetch.com upon discovery of any unauthorized access to your account. We are not liable for losses resulting from unauthorized account use where you failed to maintain credential security.
4. Acceptable use
You may use CogniFetch only for lawful business purposes consistent with these Terms. Permitted uses include:
- Uploading your organization's internal documents, policies, procedures, and knowledge assets
- Querying the knowledge base to answer employee questions and support business operations
- Integrating the CogniFetch API into your organization's internal tools and workflows
- Using analytics to monitor knowledge base usage and identify gaps
- Training staff on how to use the platform
5. Prohibited activities
You must not:
- Upload content that infringes third-party intellectual property rights, including copyrighted materials you do not have the right to process
- Upload malicious files, malware, viruses, or content designed to damage or disrupt systems
- Attempt to extract, reverse-engineer, or reconstruct AI model weights or training data
- Attempt to circumvent usage limits, rate limits, or subscription restrictions
- Use the Service to process personal health information (PHI) subject to HIPAA without executing a Business Associate Agreement with us
- Use the Service to process classified government information without appropriate authorization
- Share API keys with parties outside your organization
- Use the Service to develop a competing product or service
- Scrape, crawl, or programmatically extract data from the platform beyond normal API use
- Attempt prompt injection attacks — uploading documents designed to manipulate AI responses
- Represent AI-generated outputs as human expert advice without appropriate disclosure
- Use the Service in any way that violates applicable law, including data protection laws, financial regulations, or anti-money-laundering requirements
We actively scan uploaded documents for malicious content and prompt injection patterns. Detected violations trigger automatic suspension and review.
6. Your content and data
Ownership. You retain all ownership rights to the documents, text, and content you upload to CogniFetch ("Customer Content"). We claim no intellectual property rights in your Customer Content.
License to us. By uploading Customer Content, you grant CogniFetch a limited, non-exclusive, non-transferable license to process, chunk, embed, store, retrieve, and transmit your content solely to provide the Service to your organization. This license terminates when you delete the content or close your account.
Your responsibility. You are solely responsible for ensuring: (a) you have the right to upload and process all Customer Content; (b) Customer Content does not violate any applicable law or third-party rights; (c) appropriate confidentiality and access controls within your organization for sensitive content.
No AI training. We will not use your Customer Content to train, fine-tune, or improve any AI model. See our Privacy Policy, Section 5 for details.
Data portability. You may export your documents and query history at any time from the dashboard. Upon account termination, you have 30 days to export your data before it is permanently deleted.
7. AI limitations and accuracy
You acknowledge and agree that:
- AI-generated answers are based on the documents you have ingested. The quality and accuracy of answers depends entirely on the quality and completeness of your knowledge base
- AI systems can make errors, misinterpret context, or produce outputs that appear plausible but are incorrect — a phenomenon known as hallucination
- Answers should be reviewed by qualified personnel before being used to make significant business, legal, financial, medical, or regulatory decisions
- CogniFetch provides source citations with every answer to help you verify information against original documents
- We do not guarantee that AI-generated answers comply with any specific regulatory framework or professional standard
- You are responsible for the consequences of decisions made based on information retrieved from the platform
We actively work to minimize AI errors through hybrid retrieval, reranking, and grounded generation, but we cannot and do not warrant that the Service will be error-free.
8. Subscription and payments
Plans. CogniFetch is offered on monthly subscription plans: Starter ($299/month), Professional ($799/month), and Enterprise (custom pricing). Plan details, including user limits, document limits, and query limits, are as published at cognifetch.com/pricing.
Billing. Subscriptions are billed monthly through PayPal. By subscribing, you authorize PayPal to charge your payment method on each billing date. Prices are in USD.
Plan limits. Exceeding your plan's query or document limits will result in restriction of the relevant feature until your next billing cycle or until you upgrade. We will not charge overage fees — limits are enforced, not charged.
Upgrades. You may upgrade your plan at any time. Upgrades take effect immediately. You will be billed the new plan price at your next billing cycle.
Downgrades. Downgrades take effect at the end of your current billing period. If downgrading would place you over the new plan's document or user limits, you will need to remove excess documents or members before the downgrade takes effect.
Taxes. Prices exclude all applicable taxes. You are responsible for any applicable taxes, duties, or government charges in your jurisdiction.
Free trial. New accounts receive a 14-day free trial. No credit card is required to start a trial. At the end of the trial, you must subscribe to continue using the Service. Trial accounts have Starter plan limits.
9. Refund policy
Our refund policy is as follows:
- 14-day money-back guarantee: If you are unsatisfied with the Service within 14 days of your first paid subscription, contact us for a full refund
- Service outages: If the Service experiences more than 4 hours of unplanned downtime in any calendar month, you are entitled to a pro-rated credit for that month
- Cancellations: Cancelling your subscription stops future billing. No refund is issued for the current billing period
- Termination by us without cause: If we terminate your account without cause, we will refund a pro-rated amount for unused days in your current billing period
- Termination for cause: No refund is issued if we terminate your account for violation of these Terms
To request a refund, email legal@cognifetch.com with your account email and reason. We will process refunds within 10 business days through PayPal to your original payment method.
10. Intellectual property
Our IP. CogniFetch and all related technology, software, trademarks, logos, and content created by us are owned by CogniFetch Ltd. and protected by applicable intellectual property law. These Terms grant you a limited, revocable license to use the Service as described. No other rights are granted.
Feedback. If you submit suggestions, feedback, or ideas about the Service ("Feedback"), you grant us a royalty-free, worldwide, perpetual license to use that Feedback without restriction or compensation. We are not obligated to act on any Feedback.
AI-generated outputs. Outputs generated by the AI in response to your queries are based on your Customer Content. To the extent any intellectual property arises in AI-generated outputs that derive primarily from your Customer Content, you retain that ownership. We make no claim to AI output ownership.
11. Confidentiality
Each party may receive confidential information of the other party in connection with these Terms ("Confidential Information"). Each party agrees to: (a) keep Confidential Information strictly confidential; (b) use Confidential Information only to exercise rights or fulfill obligations under these Terms; (c) not disclose Confidential Information to third parties except as permitted by these Terms.
Your Customer Content is your Confidential Information. We protect it through the technical measures described in our Privacy Policy and will not disclose it except: (a) to sub-processors listed in our Privacy Policy as necessary to provide the Service; (b) as required by applicable law or court order, in which case we will notify you in advance to the extent permitted by law.
Confidentiality obligations survive termination of these Terms for 3 years, except for trade secrets which are protected indefinitely.
12. Disclaimer of warranties
We do not warrant that the Service will be uninterrupted, error-free, or free of security vulnerabilities. We do not warrant the accuracy, completeness, or reliability of AI-generated outputs. We do not warrant that the Service meets the requirements of any specific regulatory framework.
Some jurisdictions do not permit disclaimer of implied warranties. In such jurisdictions, our warranties are limited to the minimum extent permitted by law.
13. Limitation of liability
Our total aggregate liability to you for any claims arising under or related to these Terms shall not exceed the greater of: (a) the total amount you paid for the Service in the 12 months preceding the claim; or (b) USD $500.
These limitations apply regardless of the legal theory of liability (contract, tort, strict liability, or otherwise) and even if the limited remedy fails of its essential purpose.
Nothing in these Terms limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be limited under applicable law.
14. Indemnification
You agree to defend, indemnify, and hold harmless CogniFetch and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use of the Service in violation of these Terms
- Your Customer Content, including any claim that it infringes third-party intellectual property rights
- Your violation of any applicable law or regulation
- Any decision made based on AI-generated outputs from the Service
- Actions taken by members of your organization
15. Termination
Termination by you. You may cancel your subscription at any time from your PayPal account or by contacting us. Cancellation stops future billing. Your access continues until the end of your current billing period.
Termination by us for cause. We may suspend or terminate your account immediately, without notice, if you: (a) violate these Terms; (b) fail to pay amounts due; (c) use the Service in a way that creates legal risk for us or other users; (d) engage in fraudulent activity.
Termination by us without cause. We may terminate your account with 30 days' written notice for any reason. We will provide a pro-rated refund as described in Section 9.
Effect of termination. Upon termination: (a) your access to the Service ends; (b) we will retain your data for 30 days during which you may export it; (c) after 30 days, all Customer Content and account data will be permanently deleted; (d) Sections 6, 10, 11, 12, 13, 14, 16, and 17 survive termination.
16. Governing law
These Terms are governed by and construed in accordance with the laws of Jamaica, without regard to conflict of law principles.
For Enterprise customers located in the European Union, to the extent required by applicable law, EU law may apply to specific data protection obligations, and EU courts may have jurisdiction over data protection claims.
17. Dispute resolution
Informal resolution. Before initiating formal proceedings, both parties agree to attempt to resolve any dispute informally by contacting legal@cognifetch.com. We will respond within 10 business days. Both parties agree to negotiate in good faith for at least 30 days before escalating.
Arbitration. If informal resolution fails, disputes shall be submitted to binding arbitration under the rules of the Caribbean Court of Arbitration, conducted in English in Kingston, Jamaica. Each party bears its own arbitration costs, except the arbitrator may award costs to the prevailing party.
Exceptions. Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm, including protection of intellectual property or confidential information, without first attempting informal resolution or arbitration.
No class actions. All disputes must be brought individually. You waive any right to bring claims as a class, collective, or representative action.
18. Changes to terms
We may modify these Terms from time to time. When we make material changes, we will:
- Update the 'Last updated' date at the top of this page
- Send an email notification to organization owners at least 30 days before changes take effect
- Display a notice in the dashboard
If you object to material changes, you may terminate your account before the effective date for a pro-rated refund of unused fees. Continued use of the Service after the effective date constitutes acceptance of the modified Terms.
Changes to correct typographical errors, add clarifications that do not alter rights, or address legal requirements may take effect immediately.

These Terms of Service were last updated on May 1, 2025 and are effective as of May 1, 2025. By using CogniFetch, you acknowledge that you have read, understood, and agree to be bound by these Terms.
